Position Summary
TCS is seeking a highly motivated and experienced Senior Corporate Counsel specializing in Corporate Law to join our growing legal team. This is a fully remote position, allowing the successful candidate to work from anywhere in the United States. As Senior Corporate Counsel, you will provide expert legal advice and support on a wide range of corporate matters, including mergers and acquisitions, corporate governance, securities law compliance, and commercial transactions. You will work closely with business leaders and other members of the legal team to ensure that TCSโs operations are conducted in compliance with all applicable laws and regulations.
Key Responsibilities
- Provide legal advice and guidance to business units on a variety of corporate law matters, including M&A, corporate governance, and securities law.
- Draft, review, and negotiate a wide range of commercial agreements, including contracts, partnerships, and joint ventures.
- Advise on securities law compliance matters, including SEC reporting and insider trading policies.
- Manage outside counsel on various legal matters.
- Develop and implement corporate policies and procedures.
- Conduct legal research and analysis on complex legal issues.
- Monitor changes in laws and regulations and advise the company on their potential impact.
- Participate in virtual team meetings and contribute to a collaborative remote work environment.
- Maintain accurate and organized legal files.
- Assist with other legal matters as needed.
Required Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the bar of at least one U.S. state.
- Minimum of 7 years of experience practicing corporate law, preferably with experience in M&A and securities law.
- Strong knowledge of corporate law principles and practices.
- Excellent drafting, negotiation, and communication skills.
- Ability to work independently and as part of a team in a remote environment.
- Proven ability to manage multiple projects and prioritize tasks effectively.
- Strong analytical and problem-solving skills.
- Must be able to maintain a high level of confidentiality.
- Experience using remote collaboration tools such as Zoom, Microsoft Teams, and Slack.
Technical Requirements
To ensure a productive and efficient remote work experience, the following technical requirements must be met:
- Dedicated home office space free from distractions.
- High-speed internet connection with a minimum download speed of 50 Mbps and upload speed of 10 Mbps.
- Reliable computer equipment, including a laptop or desktop with a webcam and microphone.
- Ability to work within Eastern Standard Time (EST) business hours, with flexibility for occasional meetings outside of those hours.
- Proficiency in using Microsoft Office Suite (Word, Excel, PowerPoint).
- TCS provides a home office stipend to help offset the costs of setting up your remote workspace.

Compensation & Benefits
The annual salary range for this fully remote Senior Corporate Counsel position is $180,000 to $250,000, commensurate with experience. TCS offers a comprehensive benefits package, including:
