Position Summary

Slack is seeking a highly motivated and experienced Legal Corporate Secretary to join our Legal team. This is a fully remote position, offering the opportunity to work from anywhere within the United States. As a key member of our corporate governance function, you will play a vital role in ensuring Slack’s compliance with legal and regulatory requirements related to corporate governance. This role requires exceptional organizational skills, attention to detail, and the ability to work independently in a fast-paced, remote environment.

Key Responsibilities

  • Manage and maintain corporate records, including minutes of meetings, resolutions, and stock records.
  • Prepare and distribute materials for Board of Directors and committee meetings, ensuring timely dissemination of information.
  • Assist with the preparation and filing of securities law documents, including proxy statements, Section 16 filings, and other regulatory filings.
  • Coordinate with internal stakeholders, including legal, finance, and investor relations teams, to ensure compliance with corporate governance policies and procedures.
  • Provide support to the General Counsel and other senior legal staff on corporate governance matters.
  • Monitor changes in corporate governance laws and regulations and advise the company on potential impacts.
  • Administer Slack’s equity compensation plans, including stock options, restricted stock units, and employee stock purchase plans.
  • Manage the company’s subsidiary governance, including formation, dissolution, and compliance activities.
  • Contribute to the development and implementation of corporate governance best practices.
  • Participate in virtual team meetings and collaborate effectively with colleagues in a remote setting.

Required Qualifications

  • Bachelor's degree in a related field; paralegal certification preferred.
  • 5+ years of experience as a corporate secretary or in a similar corporate governance role.
  • Strong understanding of corporate governance principles and best practices.
  • Experience with securities law filings, including proxy statements and Section 16 filings.
  • Proficiency in using corporate governance software and tools.
  • Excellent organizational, communication, and interpersonal skills.
  • Ability to work independently and manage multiple priorities in a remote environment.
  • Must be located in the United States and authorized to work in the US.
  • Demonstrated ability to maintain confidentiality and exercise discretion.

Technical Requirements

To be successful in this remote role, you will need:

  • A dedicated home office space free from distractions.
  • A reliable, high-speed internet connection (minimum of 50 Mbps download and 10 Mbps upload speed).
  • A computer with a webcam and microphone for video conferencing.
  • Proficiency in using remote collaboration tools such as Slack, Zoom, and Google Workspace.
  • Availability during standard business hours, with some flexibility to accommodate occasional meetings outside of those hours. The core working hours for this role are generally Pacific Time Zone (PST).

Compensation & Benefits
